1. Overview
These Terms of Service (“Terms”) govern access to and use of the Unifier platform, including related websites, software, applications, APIs, monitoring tools, communication services, and operational workflows (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Services
Unifier provides operational and monitoring tools for digital signage, connected systems, asset management, service workflows, reporting, automation, communications, and related operational functions.
Features may include:
device and connectivity monitoring
screenshot capture and retention
alerting and notifications
dispatch and ticket management
AI-assisted analysis and workflows
remote operational tooling
media publishing and CMS orchestration
integrations with third-party services and platforms
Features may change over time.
3. Accounts and Access
You are responsible for:
maintaining the confidentiality of your credentials
restricting unauthorized access to your account
ensuring account information remains accurate
all activity performed under your account
You must promptly notify Unifier of suspected unauthorized access or security incidents.
Unifier may suspend or restrict access where necessary to:
protect platform security
investigate misuse
comply with legal obligations
prevent operational harm
4. Acceptable Use
You agree not to:
use the Services unlawfully
interfere with platform operation or security
attempt unauthorized access to systems or data
upload malicious software or harmful content
use monitoring or screenshot features without appropriate authorization or notice
use the Services to infringe privacy, intellectual property, or applicable law
misuse AI or automation features for harmful, deceptive, or abusive purposes
Organizations using employee or public-facing monitoring features are responsible for ensuring they have all required notices, authorizations, and legal rights.
5. Customer Data
You retain ownership of data you upload or submit to the Services (“Customer Data”).
You grant Unifier a limited right to host, process, transmit, store, and analyze Customer Data solely for:
providing the Services
security and fraud prevention
platform maintenance
operational troubleshooting
service improvement
legal compliance
Customer Data may include:
operational telemetry
screenshots
uploaded documents
ticket data
dispatch records
communications
inventory records
AI-generated summaries or outputs
You are responsible for ensuring Customer Data is lawfully collected and shared.
6. Privacy
Use of the Services is also governed by the Privacy Policy.
Organizations using the Services are responsible for:
obtaining required consents
complying with privacy legislation
managing internal employee/customer notices
configuring retention settings appropriately
7. AI-Assisted Features
Certain features may use artificial intelligence or machine learning systems.
AI-generated outputs:
may be inaccurate or incomplete
should be reviewed before operational reliance
do not constitute professional advice
may involve processing through third-party AI providers
Customers remain responsible for operational decisions and actions taken based on AI-generated content.
8. Third-Party Services
The Services may integrate with third-party providers, including cloud platforms, email services, monitoring systems, mapping providers, or AI providers.
Availability and functionality of integrations may depend on third-party systems outside Unifier’s control.
Unifier is not responsible for interruptions caused by third-party providers.
9. Availability and Support
Unifier will use commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation.
Maintenance, upgrades, incidents, connectivity failures, third-party outages, or force majeure events may affect availability.
10. Security
Unifier implements administrative, technical, and organizational safeguards intended to protect platform data and infrastructure.
However, no platform or transmission method can be guaranteed fully secure.
Customers are responsible for:
securing their environments
controlling user access
maintaining endpoint/device security
managing local operational risks
11. Suspension and Termination
Unifier may suspend or terminate access where:
these Terms are violated
unlawful activity is suspected
payment obligations are not met
platform security or stability is at risk
Customers may discontinue use of the Services at any time.
Certain obligations survive termination, including:
confidentiality
payment obligations
liability limitations
legal compliance obligations
12. Intellectual Property
Unifier and its licensors retain all rights, title, and interest in:
the platform
software
interfaces
documentation
branding
platform improvements
No ownership rights are transferred except as expressly stated.
13. Disclaimer
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, Unifier disclaims warranties including:
merchantability
fitness for a particular purpose
non-infringement
uninterrupted availability
Operational monitoring and alerts may not detect all failures, outages, or conditions.
14. Limitation of Liability
To the maximum extent permitted by law, Unifier will not be liable for:
indirect damages
lost profits
lost business
operational downtime
data loss
reputational harm
consequential damages
Total liability relating to the Services will not exceed the fees paid for the affected Services during the preceding 12 months.
Some jurisdictions may not allow certain limitations.
15. Governing Law
These Terms are governed by the laws of Canada and the Province of Quebec, excluding conflict-of-law principles where applicable.
The parties agree to submit disputes to the competent courts of Quebec unless otherwise required by applicable law.
16. Changes to These Terms
Unifier may update these Terms periodically.
Where changes materially affect rights or obligations, users may be required to review and re-accept updated Terms.
